1. Acceptance of Terms

Welcome to Eazy QI ("Platform", "we", "us", or "our"), operated as a Software-as-a-Service (SaaS) solution for digital quotation generation, proposal presentation, invoice management, payment tracking, customer advance recording, and financial reporting.

By accessing, browsing, registering for, or using Eazy QI, you agree to be bound by these Terms and Conditions ("Terms") and our Privacy Policy. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you possess the authority to bind such entity. If you do not agree with these Terms, you must immediately discontinue using our services.

2. User Accounts & Multi-Tenant Organization

To access the full functionality of Eazy QI, you must register for an organization account. You agree to:

• Provide true, accurate, current, and complete business and contact information during registration.
• Maintain the confidentiality of your password and credentials, and immediately notify us of any unauthorized access or breach of security.
• Accept full responsibility for all activities, quotations created, invoices sent, and payments recorded under your organization tenant.

3. Quotations, Invoicing, Client Links & Payment Receipts

Eazy QI allows users to generate quotations and tax invoices with customized line items, product catalogs, customer advance ledgers, and digital presentation links:

• Public Client Links: When you generate a quotation or invoice link for your client, you authorize Eazy QI to host and render the document at a secure public URL (e.g., /q/{token} and /inv/{token}) for viewing, client approval responses, and receipt downloads.
• Tax and Regulatory Accuracy: You are solely responsible for ensuring that the tax rates, item descriptions, invoice numbers, currencies, and business information comply with all applicable local, state, and international tax authorities and commercial regulations.
• Payments & Receipts: Eazy QI facilitates the tracking of full and partial payments and the generation of branded PDF receipts. Eazy QI is not a banking institution and does not hold client funds in escrow unless explicitly specified under an integrated third-party payment gateway arrangement.

4. Subscriptions, Pricing & Cancellation

Certain features of Eazy QI are provided under paid subscription tiers (e.g., Starter Plus, Business Starter):

• Billing Cycles: Subscription fees are billed on a recurring monthly or annual basis depending on your selected tier.
• Usage Limits: Each plan specifies limits on total users, quotations allowed, invoices allowed, and daily creation quotas. Exceeding limits may require upgrading to a higher tier.
• Cancellation: You may cancel your subscription at any time through your Account Settings. Your access will continue until the end of the active paid billing cycle, after which your account will transition to the free tier limits.
• Refunds: All fees paid are non-refundable except where required by mandatory consumer protection laws or explicitly stated in writing.

5. Acceptable Use Policy

You agree not to use the Platform to:

• Send fraudulent, misleading, or deceptive quotations, invoices, or payment claims.
• Distribute malware, spam, unsolicited promotional material, or malicious attachments via the platform's email distribution features.
• Probe, scan, reverse engineer, or attempt to compromise the infrastructure, source code, or security controls of Eazy QI.
• Impersonate any individual, organization, or brand without lawful authorization.

6. Service Availability & SLA

We strive to maintain a 99.9% uptime for the Platform. However, we do not guarantee uninterrupted or error-free operation. Scheduled maintenance, emergency security patches, or telecommunication outages outside our direct control may temporarily impact availability.

7. Intellectual Property & Customer Data

Your Data: You retain full and exclusive ownership of all customer records, quotation contents, logos, invoices, and financial records uploaded to your tenant. You grant Eazy QI a limited, non-exclusive license strictly necessary to store, process, and render such data to deliver the service.

Our Platform: All software, designs, algorithms, code, documentation, graphics, and trademarks associated with Eazy QI are the exclusive property of Eazy QI and its licensors.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Eazy QI, its directors, employees, or affiliates be liable for any indirect, punitive, incidental, special, or consequential damages, including loss of profits, goodwill, data, or business interruption, arising out of or in connection with the use of or inability to use the platform.

9. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the operating entity of Eazy QI is established, without regard to its conflict of law principles. Any dispute arising out of these Terms shall be resolved through good-faith negotiation, and if unresolved, through competent courts in that jurisdiction.
